It's the intellectual property they're after, not the development staff. Banjo's IP rights are arguably more valuable than the development studio.
Indeed, and if the development studio doesn't want to bother using the IPs then it's really better off in the hands of another development studio.
Plus, some of Rare's former key staff are now a part of Retro Studios if I'm not mistaken. So if Nintendo decides to buy the Banjo IP (and possibly others like Conker and Battle Toads, you never know) then it's really going to a good home.
